User is in no way obligated, required or encouraged to utilize any of the Vendors posting information on this Web Site. If User decides to utilize a Vendor, any transaction, offer to buy or sell or related communication conducted on this site is solely between User and Vendor. The exclusive remedy arising from communications on or through this Web Site is between User and relevant Vendor. User agrees that, in return for permission to use the Web Site, he or she waives any and all claims against www.ilfls.com that are connected to use of this Web Site

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

    4. INDEMNITY

    User agrees to indemnify and hold harmless ilFLS.com, at User's sole expense, against any claim, action, legal proceeding, damages, liability, settlements, expenses (including attorneys' fees) and other costs relating to (i) breach of any of these terms by any party; (ii) User's negligence or misconduct, or (iii) claims that User has infringed the copyright, trademark, trade secret, patent, or other proprietary right of a third party.

    5. ERRORS AND DELAYS

    ilFLS.com is not responsible for any errors or delays in responding to a qualification form or referral form caused by an incorrect e-mail address provided by you or other technical problems beyond our reasonable control.

    6. COPYRIGHT RESTRICTIONS

    The subscription to ilFLS.com services is intended for individual or private use only. The commercial resale, electronic extraction or reformatting of information available on the ilFLS.com web site or on any other co-branded web site, by any subscriber in any capacity, is strictly prohibited and a material condition to the use of the ilFLS.com site. Data mining, screen scraping, downloading or any other activity designed to obtain, re-use, reformat, re-sell the proprietary or other information contained within the ilFLS.com or co-branded web sites in a commercial manner is strictly prohibited. ilFLS.com reserves the right to immediately terminate any account which is being used in such activity. The reposting, manipulation, display or other web-based presentation of data obtained through the ilFLS.com web site (or co-branded web site) on the Internet or through e-mail is strictly prohibited and may constitute copyright, trademark or service mark infringement. In the event that any subscriber is determined to be engaged in any activities prohibited in this section, ilFLS.com may seek injunction in any court located in Cook County, Illinois and the subscriber through the use of this site consents to the jurisdiction of said courts and shall and agrees to be liable for all attorneys fees incurred as the result of any enforcement of any injunction for legal action related to any wrongful action referenced herein. Furthermore, Usage of the subject site shall be limited to non-robotic, non-mechanical or other non-artificial/software based searches which shall not exceed 200 searches per 24 hour period. Violation of this use policy subjects the user to immediate termination of service without refund or pro-rated credit for any subscription fee.

    7. CODE OF BEHAVIOR

    User agrees not to post on the Web Site any content which (a) is libelous, defamatory, obscene, pornographic, abusive, harassing, or threatening, (b) contains viruses or other contaminating or destructive features, (c) violates the rights of others, including protections of copyright, trademark, patent, trade secrets or any right of privacy or publicity, or (d) otherwise violates any applicable law. User will not post on this Web Site any links to any external Internet sites that are obscene or pornographic. Any information that you provide to ilFLS.com must be true, complete and accurate, must not represent you as someone else or falsely identify any third party, and must not violate any law, statute, ordinance or regulation.
    By subscribing to the ilFLS.com service, User agrees not to disclose any assigned access code to others. User also agrees not to distribute the information contained in ilFLS.com to any person or organization, by any means, printed, electronic or other.
    User understands that the monthly fee to access the data on ilFLS.com will start if User does not cancel during the free seven-day trial period. User also understands that after the expiration of the seven-day free trial period, User may continue to access ilFLS.com’s database as long as Users account is current. User also agrees to pay the monthly charge and will be automatically billed to the credit card listed given to ilFLS.com until User decides to cancel.

    8. TRADEMARKS, LOGOS AND CORPORATE IDENTITY
    All trademarks, service marks, logos, or other corporate identifications (collectively, "Marks") on this Web Site are trademarks or service marks of ilFLS.com or another entity. Use agrees not to use, copy, reproduce, republish, upload, post, transmit, distribute, or modify these Marks in any way. The use of these Marks on or as a link to any other Web Site is strictly prohibited without prior written approval by ilFLS.com.

    9. CANCELLATION POLICY

    PLEASE READ HOW TO CANCEL YOUR SERVICE AS USER WILL BE BOUND TO THESE TERMS AND CONDITIONS. The cancellation policy, in a more succinct form, is also stated on the ilFLS.com FAQ page. User is required to log in to his or her account and visit the 'My Profile' page. The link for cancellation is located in the bottom of the 'My Profile' page. Also user may modify his/her billing preferences using the options on the My Profile page. Once the user has completed the cancellation process stated above, he or she will receive a confirmation email stating that their service has been canceled. If the user has not received the cancellation confirmation email the service has not been canceled correctly and the cancellation process needs to be repeated. ilFLS.com will not accept an "email", "phone call", "phone message", or "fax" as a method of canceling the service. User must use the cancel process stated above to cancel this service. Refunds will not be issued to a user based upon their personal views or opinions of ilFLS.com. This includes the quality of content, delays in updates, or related matters. If the user wants to upgrade his/her plan he/she can do this by contacting ilFLS.com by phone, e-mail or fax or using the upgrade process on the Web Site. All published subscription plans are based on recurring billing schedule. This means the credit card provided at the time of subscription will be billed in the beginning of every consecutive billing cycle depending on the subscription plan. The schedule of the next billing charge is posted in My Profile page. Exceptions are the posted Credit Plans and any other expressly stated to be non-recurring. Users who have subscribed for the ‘trial period, all sublevels basic, all sublevels premium, or any ‘promotion’ have the option to cancel/modify their subscription plan at anytime using only the aforementioned processes. If the subscriber does not cancel/modify their membership payment plan then the credit card given at the time of the subscription will be automatically billed on a monthly basis at the subscription rate specified when said user registered on ilFLS.com, until such time as cancellation by subscriber occurs. Subscriber also understands that any 'promotional' rate or 'trial period' is good only for first time subscribers and for period specified in the current ‘promotional’ or ‘trial period’ offer. This does not include the current 3 Day Trial which a user can sign up as many time as he/she desires. Any exceptions to this policy are at the sole discretion of ilFLS.com. IlFLS.com will not be held responsible for charges incurred due to User inputting an invalid or incorrect email address when signing up. Furthermore User's non-use of the site, misplaced or lost access codes, shall not justify User receiving any refund for any services charged. ilFLS.com reserves the right to change the 'pricing' structure and rates listed on the register page at any time.

     10 ilFLS.com SEMINARS CANCELLATION POLICY

    The ‘seminars cancellation policy’ relates to any educational classes or seminars offered by ilFLS.com. If you sign up for any of the seminars please read the policy carefully as ‘user’ of services will be bound by this policy and by signing up for seminars understands and accepts the ilFLS.com ‘terms and conditions.’ ilFLS.com has a strict ‘no refund’ policy on all charges for seminars. If you have scheduled a seminar but cannot attend, you are required to notify ilFLS.com a minimum of 48hrs before the scheduled start time. Proper notification requires a fax sent to 800-765-9168 with your name, email, address, seminar date and time and the words ‘cancel’. Notifications will not be accepted by phone or email. ‘User’ of seminar may then reschedule for any future seminars of equal value or receive credit to any other service which ilFLS.com offers. Again, under no circumstances, will ilFLS.com offer refunds partial or full on any seminars and classes.

    11. CHARGES, PLAN CREDITS AND CHARGEBACKS

    ilFLS.com offers multiple different services and subscription plans. All recurring plans will be billed in advance upon the beginning of the next billing cycle. The customer is responsible for supplying a valid billing information and source of funds. All delinquent accounts will be terminated without advance notice. All incurred charges will be invoiced and presented to the client for payment. ilFLS.com reserves the right for legal action for collecting and reporting all delinquent accounts. Customers with past due balance on previous or multiple accounts will be charged the full balance upon opening a new account or updating their credit card on file. ilFLS.com also reserves the right to charge termination and transfer fees consistent with each plan's terms and conditions. Further, upon termination of your Account for any reason, all unused credits or pre-paid days usage shall expire in their entirety and no refund or pro-ration shall be made for any unused such period.

    Plan Credits. ilFLS.com offers several different Service plans. Some of the plans provide for a fixed number of usage credits. All credit plans expire one year after the purchase date. You are advised to refer to your specific Credit Service plan details regarding how the credits can be used.
    Credits and other promotional incentives and the like have no monetary value. All credits and other promotional incentives are personal to you and your Account and may not be sold, transferred, assigned or used by another user or with another user’s Account.

    Tell-A-Friend. Tell-A-Friend (TAF) credits have no monetary value and are treated like other credits upon termination of your Account; that is, upon termination of your Account for any reason, all unused TAF credits shall expire in their entirety and no refund or pro-ration shall be made for any unused TAF credits or time period. TAF credits are personal to you and your Account and may not be sold, transferred, assigned or used by another user or with another user’s Account.

    Chargebacks. ilFLS.com strongly discourages the use of chargebacks. If you believe your Account has been created fraudulently or in error, you must follow the following procedures no later than 3 days after you first discover the Account was fraudulently or erroneously created: (1) you must contact via email our customer support department at support@ilFLS.com. The subject line of the email must state "Chargeback" and you must provide the following information in the email: (a) your name, contact information, and the ilFLS.com Account telephone number in question, (b) the date that the Account in question was created, (c) the credit card account number used to open the Account, and (d) the total amount charged to the Account. Our customer support representatives will contact you to attempt to resolve the matter; and (2) if you are not able to resolve the matter with our customer support group, you must then contact our legal department via email at legal@ilFLS.com to try to resolve the matter. If you take any action to reverse your Account charges with your credit card company without first following both of the procedures set forth herein, we reserve the right to take legal action against you for damages, including, among other things, fraud.

    12. TERMINATION OF SERVICE.

    • ilFLS.com reserves the right to immediately deactivate or modify your Service if ilFLS.com determines, in its sole discretion, that your use of the Service is or at any time did violate this Terms of Use.
    • Any free services provided by ilFLS.com that involve creating a unique account are personal to you and you are only allowed one free account. If ilFLS determines, in its sole discretion, that multiple free accounts have been created by you, ilFLS reserves the right to immediately disconnect or modify any or all of your accounts and bill Overuse Fee for unauthorized creation of such accounts equal to the Premium Monthly Rate for such account
    • To maintain or improve the Services, to prevent fraud, or for any other reason determined by ilFLS.com, its sole discretion, ilFLS.com may restrict, suspend, terminate or modify your Service with or without notice.
    • Upon any termination in accordance with the foregoing, ilFLS.com may immediately deactivate or delete your Account and all related information and files in your Account.
    • ilFLS.com shall not be liable to you or any third party for any reason for terminating your use or access to Services.
    • If you or ilFLS.com terminates your right to use the Service, you shall not be entitled to any refund or pro ration of any pre-paid amounts or credits.


    13 BILLING DISPUTES

    Any dispute of charges by ‘user’ of ilFLS.com services arising from cancellation of Seminars or other services. If ilFLS.com has billed any user according to the agreed upon ilFLS.com ‘terms and conditions’ and user disputes those charges whether through chargebacks, emails, phone calls, mail or fax, ilFLS.com is authorized to take the following actions. User will be ‘charged’ $99.00 hourly for every hour that ilFLS.com and its legal department spends answering said dispute with a minimum charge of $299.00. Also by agreeing to the ‘terms and conditions’ user agrees to have credit card billed for the aforementioned amount arising out of any dispute to charges which conform to ilFLS.com ‘terms and conditions.’ ilFLS.com also reserves the right to notify credit bureaus of any unpaid fees to ilFLS.com and note that on user’s credit report.

    14. LINKS TO AND FROM THIRD PARTY SITES DISCLAIMER

    This Web Site contains links to third party sites. User accesses these sites at User's own risk; ilFLS.com is not responsible for the contents, changes, updates, or other links contained in a linked site. ilFLS.com provides these links merely as a convenience, and the inclusion of such links does not imply an endorsement by ilFLS.com of the site. Any third party desiring to link to the Web Site must contact ilFLS.com and submit an application for this link to be established. No one may link to any other page of this Web Site without the prior written consent of ilFLS.com. All the links ilFLS.com provides to third parties web sites are for the User convenience and not commercially used by ilFLS.com. Any such implications should be addressed to ilFLS.com. ilFLS.com does not charge the User for all the links provided on its web site, neither endorse the information contained on them.

    15. PAYMENT METHODS

    By signing up to the free trial or for any direct service provided by ilFLS.com and by providing a valid credit card information, the User consents to the subsequent recurring billing for services/access provided by ilFLS.com after the expiration of any free trial period to the extent said period is applicable or in the event a free trial is not applicable, User consents to recurring billing for services/access provided on an ongoing basis. Such recurring billing shall continue until such time as the User cancels the service in accordance with the cancellation policy.
    ilFLS.com accepts all major credit cards including Visa, MasterCard, and American Express and for some charges may accept bank drafts including personal checks, money orders, cashiers checks, and company checks. However, for non-credit card payment methods, ilFLS.com may not credit the applicable account until additional procedures are completed and after the bank certifies receipt of funds - typically ten (10) business days. ilFLS.com may charge a twenty-dollar ($20.00) handling fee, or the maximum allowable by law, whichever is less, for each check returned unpaid for insufficient funds or any other reason.

    16. ACCOUNT DISCREPANCIES

    The user of ilFLS.com may always contact ilFLS.com customer service by e-mail or telephone concerning charges or other questions regarding the status of an account. However, if not satisfactorily resolved within fifteen (15) business days of calling or sending e-mail, and in no event later than ninety (90) days after a questionable billing or other discrepancy should have been discovered, the service provider must write to the Customer Service Department, ilFLS.com, ilFLS.com 808 Elk Grove Village, Elk Grove Village, IL 60007 delivered by United States mail or by fax to (877) 830-3205.

    17. PRIVACY

    Unless specifically noted when the information is obtained, www.ilfls.com does not make available to third parties information that personally identifies its Web Site users. With the exception of: If User linked to this page (or subscription form) from another web site, information entered here may be disclosed to the owners of such web site. Other information or ideas that Users transmit to or post on this Web Site by any means will be treated as non-proprietary, and may be disseminated or used by www.ilfls.com, its affiliates or the Vendors for any purpose whatsoever.     18. MISCELLANIOUS

    These Terms of Service will be governed by and construed in accordance with the laws of the State of Illinois, without giving effect to its conflict of laws provisions or your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect.
    These Terms of Service constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by ilFLS.com.
